Provider identity
These Terms and Conditions govern the access, purchase and use of AXIS Overlay, a desktop software and related services for the customization, capture, processing and display of chat messages from streaming platforms and online communities.
The service provider is axisoverlay.com.
By purchasing a license, downloading, installing or using AXIS Overlay, you accept these Terms and Conditions. If you do not agree, you must not use the software or related services.
Definitions
For purposes of this document:
- AXIS Overlay means the desktop application, overlays, website, licensing backend, configuration panel and auxiliary services.
- License means the limited, non-exclusive, revocable and non-transferable authorization to use AXIS Overlay under the contracted plan.
- User means the natural or legal person who acquires a license or uses the software.
- Activated device means each installation or license activation associated with a valid computer, system or installation.
- Third-party platforms means services such as Discord, Twitch, YouTube, Stripe and any other external provider linked to the use of AXIS Overlay.
Service scope
AXIS Overlay allows, among other functions:
- Connecting chats from compatible platforms.
- Customizing the visual appearance of messages and overlays.
- Displaying messages from one or more platforms on one or more overlay URLs.
- Managing licenses, per-device activations and subscription status.
- Using auxiliary services for payment, billing, license validation and subscription management.
AXIS Overlay is offered as a software tool. It does not replace the policies, permissions, terms or technical limits of the third-party platforms it integrates with.
Eligibility and permitted use
The User states that:
- They have legal capacity to contract.
- They will provide truthful, current and complete information at the time of purchase or activation.
- They will use AXIS Overlay only for lawful purposes and in accordance with applicable regulations.
- They have sufficient authorization to connect bots, channels, accounts, tokens or third-party integrations they use with AXIS Overlay.
It is prohibited to use AXIS Overlay for:
- Violations of third-party rights.
- Unauthorized capture, monitoring or dissemination of information.
- Circumventing technical measures or license limits.
- Reselling, sublicensing, transferring or unauthorized distribution of the software or license keys.
- Reverse engineering, decompilation or modification of the software, except as expressly permitted by applicable law.
Purchase, payments and billing
Purchases are made through Stripe or authorized payment providers. AXIS Overlay does not store full credit card numbers; such data is handled by Stripe under its own policies and conditions.
Depending on the plan, the User may acquire:
- One-time payment licenses.
- Recurring subscriptions.
- Promotional, trial licenses or special activations, when available.
The purchase is considered confirmed once the payment processor approves the transaction and the licensing backend registers the corresponding order.
Licenses and activation
The license granted to the User is:
- Limited.
- Non-exclusive.
- Revocable.
- Non-transferable, unless expressly authorized in writing.
Each license may be subject to:
- A maximum number of activated devices.
- A specific validity period.
- Renewal, cancellation or expiration rules.
- Technical or commercial restrictions of the contracted plan.
AXIS Overlay may request activation of a license key when starting the software and validate:
- License existence.
- License status.
- Expiration or renewal date.
- Number of activated devices.
- Technical identifiers associated with the installation.
A license may be suspended, revoked or rejected if:
- Fraud, abusive use or attempt to bypass the licensing system is detected.
- There are chargebacks, refunds or cancellations that affect the commercial validity of the purchase.
- The number of allowed devices is exceeded.
- The subscription is cancelled or expires without applicable renewal.
Renewals, cancellations and refunds
For subscription plans, renewal will occur in accordance with the contracted price conditions and the payment provider configuration.
When applicable, the User may manage:
- Payment methods.
- Invoices.
- Billing data.
- Subscription cancellations.
These actions may be performed through the Stripe Customer Portal or equivalent tools enabled by AXIS Overlay.
If the subscription is cancelled with effect at the end of the period, access may remain until the effectively paid date and then become disabled.
Refunds, when applicable, will be subject to:
- Applicable legislation.
- Commercial policies in force at the time of purchase.
- Operational rules of the payment provider.
When a refund or chargeback exists, AXIS Overlay may revoke the corresponding license.
Third-party integrations
AXIS Overlay may integrate with Discord, Twitch, YouTube and other third-party services. The User acknowledges that:
- The use of those integrations depends on the availability and rules of those services.
- AXIS Overlay does not control or guarantee the continuity, policies, APIs or operation of third parties.
- The User is responsible for the legitimate use of credentials, bots, tokens, channels, IDs, API keys and other integration information.
The User is also responsible for complying with the terms of service and content rules of each connected platform.
Content and data processed by the software
AXIS Overlay may process, at the User’s instruction, data such as:
- Visible username in chats.
- Chat messages.
- Avatars or profile pictures.
- Emojis, stickers, GIFs, images, attachments, replies and message metadata.
- Technical identifiers of the installation and device.
AXIS Overlay does not acquire ownership of the content the User processes through the software. The User retains responsibility for the legitimacy of its use, display or distribution.
Availability and support
AXIS Overlay may be updated, modified, suspended or improved at any time. Continuous availability or freedom from errors or interruptions is not guaranteed.
Technical support may be offered via email, website or other channels defined by the provider. Response times and support scope do not constitute a service level guarantee unless expressly agreed in writing.
Intellectual property
All software, code, interface, brand, logos, designs, documentation and distinctive elements of AXIS Overlay are owned by their holder or used with authorization, and are protected by applicable intellectual property laws.
The purchase of a license does not transfer ownership rights over the software or its components.
Liability limitation
To the maximum extent permitted by law, AXIS Overlay is provided "as is" and "as available".
The provider will not be responsible for:
- Loss of income, audience, data or profits.
- Failures of third-party services.
- Changes in APIs or policies of connected platforms.
- Interruptions due to technical causes, maintenance, connectivity or events beyond reasonable control.
- Misuse of the software by the User.
In no event will the provider’s total liability exceed the amount effectively paid by the User during the twelve months prior to the event giving rise to the claim, unless mandatory law provides otherwise.
Suspension and termination
The provider may suspend or terminate access to the software or the license if it detects:
- Breach of these Terms.
- Fraudulent or abusive use.
- Activities that put at risk the security of the service, other users or third parties.
- Payment defaults, chargebacks or cancellations that invalidate the license.
Termination does not extinguish prior outstanding obligations.
Modifications
AXIS Overlay may modify these Terms and Conditions at any time. Changes will be published on the official website or through the means enabled by the service. Continued use of the software after the changes take effect implies acceptance, unless the law provides otherwise.
